Should and LLC have Directors and Officers like a Corporation?
A: It depends. In corporations, directors set forth the general policy and business direction of a firm, while officers manage its day-to-day business. Maryland and Delaware LLCs are, by statute, either member or manager (non-member) managed. However, the great contractual flexibility of LLCs allows their management structure to mimic a corporate form if so desired. If a particular LLC's business model or industry is best suited by having traditional corporate titles and roles assigned to various members (ie, CEO, president, vice president, etc.), then it may make sense to draft such provisions into the company's operating agreement.
