What steps do I need to take to form my LLC?

 

A: As a procedural matter, forming a new LLC is relatively straight forward.   All that is required is to:  (1) Determine preferred name availability; (2) file either an Articles of Organization (Maryland) or LLC Certificate (Delaware) along with necessary fees with the appropriate state agency; and (3) draft either an operating agreement or LLC agreement, as appropriate.   In Maryland, step (3) is not a statutory requirement:  an LLC is formed upon the filing of the appropriate document with the state.   However, it is strongly discouraged to engage in business without a formal written governing document.
