  • Kramer Law Firm Presents LLC Fiduciary Duty Speech to Bar Association

    Seth H. Kramer, member of The Kramer Law Firm LLC, will present a seminar entitled, Contractual Modification of LLC Fiduciary Duties Under Maryland Law, to the Business Law Section of the Montgomery County Bar Association. The seminar will be held Tuesday November 9, 2010 from 6:00 – 7:00 PM at the office of Bregman, Berbert, Schwartz & Gilday, LLC, located at 7315 Wisconsin Avenue, Suite 800 West, Bethesda, Maryland 20814.

    The seminar will begin with a discussion of the nature and evolution of fiduciary duties of members of limited liability companies.  It will next compare and contrast the ability of Members to modify such duties under Maryland and Delaware law.  The seminar will conclude with instruction on how to draft LLC agreements to best implement each member’s intent regarding such issues.

              The Kramer Law Firm is proud to announce that Ilana R. Kramer has joined the Firm as Counsel.  Ilana joins the Firm following over a decade of practice at large national firms, most recently at Wilson, Sonsini, Goodrich and Rosati, P.C., the premier legal advisor to entrepreneurs worldwide.  A 1999 graduate of New York University Law school, Ilana is currently admitted to practice in New York and the District of Columbia.

              At the Kramer Law Firm, Ilana's practice involves representing closely-held businesses entities such as partnerships, limited liability companies and corporations from formation through sale or dissolution.
